we are small team for game development, we want to use MSX music and sound effects in our commerical games, IS THAT LEGAL?

That depends. Do you want to...
a) Create music on MSX, record it and use that in games? Of course it it's legal!
b) Take existing MSX music, created by someone else, record it and use that in games? Of course it isn't!
in case [b] you should get permission from (and possibly pay royalties to) the person(s) who created the music you'd like to use.

Apart from those legal issues, why would you want to use gamemusic from some other game for your own game? It's usually the most fun to create all that yourself. (or ask someone to do that)

The potentially unclear bit is 'MSX music' and 'commercial games'. Are these commercal MSX games? If no, why did you want to use MSX music when there're countless o' other sources you can use? (like some composers who just take the credit and be happy with it)
If it's a commercial MSX game, it might be more interesting for some ppz around here.
